Job Position: Assistant Manager/Manager Company Secretary

We are seeking an experienced Company Secretary to ensure compliance with corporate laws and drive efficient governance processes at our Head Office in Ahmedabad.

Job Details

  • Experience: 5–10 years in corporate secretarial functions, preferably in the pharmaceutical or listed company environment
  • Qualification: Company Secretary (CS) from the Institute of Company Secretaries of India (ICSI); LLB or MBA is an added advantage
  • Location: Thaltej, Ahmedabad, Gujarat

Key Responsibilities

Corporate Compliance and Governance

  • Ensure compliance with the Companies Act, 2013, SEBI Regulations, and other applicable corporate and securities laws
  • Review and implement policies and procedures for compliance with corporate, securities, and business regulations
  • Prepare, maintain, and update statutory registers, records, and corporate documents (e.g., Articles of Association, bylaws, policies)
  • Coordinate and ensure timely filing of forms, returns, and applications with the Registrar of Companies (ROC)

Board and Committee Meetings

  • Organize and manage board and committee meetings, including preparing agendas, taking minutes, and following up on action items
  • Handle pre- and post-meeting formalities, ensuring alignment with SEBI and stock exchange compliance requirements
  • Facilitate effective communication and follow-up actions post-meetings

Shareholder and General Meetings

  • Assist in organizing Annual General Meetings (AGMs), Extraordinary General Meetings (EGMs), and Postal Ballots
  • Manage pre- and post-meeting formalities, including notices, resolutions, and shareholder communications
  • Support shareholder relations and address queries in compliance with regulations

Liaison and Coordination

  • Liaise with consultants, advisors, statutory auditors, internal auditors, and legal professionals as needed
  • Coordinate corporate filings, disclosures, and statutory obligations to ensure regulatory compliance
  • Support incorporation/formation of Companies and LLPs when required

Policy and Process Development

  • Create and implement corporate policies and procedures to enhance governance
  • Assist in developing strategies for compliance with stock exchange requirements and SEBI regulations
