Role: Lead – ESOP Administration & Accounting

We are seeking a seasoned professional to take on the strategic leadership of our Employee Stock Option Plan (ESOP) administration. In this role, you will be responsible for the end-to-end management of our ESOP framework, ensuring compliance, accuracy, and clear communication across the organization.

Qualifications:

• Bachelor’s degree in Finance or Commerce.
• Professional certifications such as CS/CA or equivalent are highly preferred.

Experience:

• 6-7 years of dedicated experience in ESOP administration, ideally within a corporate or publicly listed company.
• Strong command of Indian ESOP regulations and tax laws; exposure to global standards is a plus.
• Proven experience working with stock transfer agents and managing employee share schemes.
• Skilled in collaborating with legal, finance, and HR teams and handling confidential information with discretion.

Key Responsibilities:

ESOP Program Management

• Develop and manage comprehensive ESOP plans, including grants, exercises, transactions, and all related documentation.
• Oversee the allocation, vesting, forfeiture, and reporting for our employees in India and overseas.

Compliance and Trust Management

• Ensure full regulatory compliance, manage statutory filings, and support board and NRC meetings.
• Administer the ESOP trust, including the management of funds and share allocation.
• Coordinate with finance for the accurate accounting of all ESOP activities and support quarterly and annual audits.

Employee and Stakeholder Engagement

• Lead employee communication initiatives, conduct training sessions, and serve as the primary contact for all ESOP-related queries.
• Liaise with the Secretarial and Finance teams, as well as external auditors, to ensure seamless operations.

Role: Deputy Manager – ESOP Administration

This is a hands-on role for a detail-oriented professional who will support the daily operations and administration of our ESOP programs. You will play a crucial part in ensuring the smooth execution of ESOP transactions and maintaining accurate records.

Qualifications:

• Bachelor’s degree in Finance or Commerce.
• Professional certifications like CS/CA or equivalent are preferred.

Experience and Skills:

• Hands-on experience with any major HRMS platform.
• Proficient in data management, especially with Excel.
• Experience participating in internal or external audit processes.
• Strong documentation and process-orientation skills.
• Excellent communication skills with the ability to interact effectively with overseas employees.

Key Responsibilities:

ESOP Transactions and Record Keeping

• Manage the day-to-day processes for ESOP grants, vesting, exercises, and related documentation.
• Prepare and maintain accurate reports on all ESOP activities, including vesting, exercise, and forfeitures.
• Ensure the legal compliance of the ESOP registry and employee stock certificates.

Trust Administration and Employee Support

• Assist overseas employees with documentation for PAN issuance and the opening of Demat accounts.
• Help manage all activities related to the ESOP trust, including fund management and share allocation.
• Address employee queries, assist in conducting ESOP trainings, and maintain clear documentation on various platforms.

Compliance and Collaboration

• Ensure adherence to all statutory requirements and assist with periodic filings and reporting.
• Liaise effectively with the Secretarial and Legal teams on all share-related matters.
